Ohio University Athens, 2 O'clock P.M. Tuesday August 5, 1845

Agreeably to notice, at the time appointed for the annual meeting of the Board of Trustees of the Ohio University the following members convened at the usual place of assembling in the central College edifice; to wit. Hon. Elijah Hatch, Hon. Ephraim Cutler, Gen. James T. Worthington, Rev. Amos Miller, Gen. Samuel F. McCracken, A.G. Brown (Secy) Hon. John H. Keith, V.B. Horton Esq. and Rev. William Aikin.

There being a quorum present, the Board proceeded to business. Our motion, Genl. S.F. McCracken was chosen President pro term. The Committee on the sale of Lots etc. made a Report, which was accepted, and ordered to be recorded as follows: The committee appointed to lay off and sell Lots etc. Report that on the 15th day of April, 1845, after due notice, they proceeded to offer for sale a number of Out & In Lots and Re-entered Lands, and made sales as follows;"

Academical Department, which, our motion, was referred Messn, Keith, Miller and Aikin, as a committee to report then on. Our motion, adjourned to 9 o'clock tomorrow morning.

Wednesday, August, 6, 1845, Met pursuant to adjournment, Present as yesterday, together with Rev. James Hoge D.D. and, Prof. Mathew Vice Prest. The committee upon Prof. Williams' communication reported, recommending the adoption of certain Resolutions, which after being amended were concurred in as follows:

Resolved that the arrangements for the organization of the academical Department adopted at the called meeting of the Board in April last be amended and modified as follows;

1. That during the period the Collegiate Department may be suspended, the principal of the Academical Depart= ment shall conduct the business of instruction, in con= formity with the Bylaw (underlined) and Regulations of the University heretofore adopted so far as the same may be applicable.

2. That at the end of each year, and oftener if requested he shall report to the Board, showing the condition of the Institution- the number and progress of pupils do.

3. That he shall be authorized to everyday such assistants as he may deem necessary, subject to the supervision of the Board, whose compensation shall be paid out of the tuition received from students, all of which shall be paid to him, together with the sum of six hundred dollars, ($600) heretofore appropriated, and no more from the permanent annual income of the University.

4. That he shall be authorized, as soon as he may deem it expedient, to open an English and high school department in which shall be taught such practical and useful bran= ches as may be thought proper.

5. That the Board or acting committee shall attend, or procuse the attendance of other suitable persons at the annual and other examinations of the Institution.

6. Students of good character and habits may be permitted to occupy Rooms in the College buildings by the payment for now per term of $2.00 in the central and $1.50 in the wing buildings, to be applied to repairs, improvements.

7. That the expenses of incidental repair & keeping

the buildings and ground in as good order as at present (natural wear and decay excepted) shall be paid by the Principal from the proceeds of Room Rents, the products of the grounds do.

The following Report from the Faculty to the Board of Trustees of the Ohio University was presented and directed to be recorded.

"Gentlemen, In the absence of the V. President on whom it would devolve to present the usual Report to the Board, I would beg leave to submit a brief statement of the operations of the Institu= tion during the past term. In consequence of the arrangements made at your last meeting in reference to a suspension of the regular operations of the University, the number of students in attendance has been reduced to 13. Of these B.D. Blackstone & A. Hall, are regular members of the senior class, and have completed the prescribed course of study. Four members of the junior class, have also been in attendance. Of these A.L.S Bateman and D.C.Culley, by having anticipated some of the studies of the senior year in the earlier part of their course, and by making unusual exertions since the last meeting of the Board, have been successful in completing the entire course preparatory to graduation. The four young gentlemen above named have also completed with the requisitions of the Institution as to moral character, at= tention to study, grade of scholarships and discharge of college dues. and we therefore recommend them to the Board for the degree of Bachelor of Arts. Two other members of the junior class, R.S. Fallerton and James H. Hey, have also by unusual application been able to accomplish the larger portion of the studies of the senior year, and would be prepared to graduate, with perhaps one term of additional study. We would therefore recommend that the degree of A.B. be conferred on them prospectively on condi= tion of their completing the prescribed course of study. The fac= ulty have felt themselves justifiable in encouraging the four mem= bers of the junior class above named, in their efforts to be prepared for graduation at his time in consequence of the proposed suspension of the operations of the University, and of the earnest desire of these young men to receive their Diplomas from this, rather than any other Institution. And although they have not had time for that full and thorough course of training in a few of the branches of study which would have been desirable yet their general character for talents and scholarship is such as will, we believe, reflect no disendit on the Institution.

There have also been in attendance, J.P. Bing, J.M. Suodgrass and J.B, Williams of the freshman class. J. Whitesell, J. Arbuthnot, and Wm. Root in the Preparatory Department, and H. Wilson irregular. All these have attended with exemplary diligence and with success to the studies assigned them. All which is respectfully submitted, in behalf of the faculty. Ohio University, Aug, 6, 1845 A. William Prof. of Lang. P.S. We would further state that the number of daily recita= tions to be attended to, was such as to render it necessary, in the judg= ment of the faculty to retain Mr. R. Woodrow as tutor, during the past term, and we recommend that the Board authorize the Treasurer to pay him the amount due for his services. A.W."

Our motion, Resolved that the degree of Bachelor of Arts, be conferred in conformity with the recommend= ations of the faculty, upon the following young gentlemen, Viz. Benjamin Dodridge Blackstone, Aaron Hull, A.L.S. Bateman, Don Carlos Culley, Robert S. Fullerton, and James H. Hay (the Diplomas of the latter two to be withheld un= til they shall have made up their deficient studies). Resolved, that the degree of Master of Arts, be conferred in course upon the following gentlemen, former graduates of of this university, viz- James H. Couch, John James Hoge, Ira Marsh, James D. Miller, Thomas D. Miller, David H. Put= ney and John Wilson, of the class of 1840. Joseph G. Lewis of the class of 1841. John H. Pratt, Solomon W. Shepard and Henry W. Taylor of the class of 1842 and John M. Bush, Robert H. Gillmon, John Blair Hoge, Lorenzo D. McGabe, Jeffrey Price Safford, John C. Culbertson, Daniel Convers Goddard, William James Hoge, Alexander S. Oliver and David P. Ruckman, of the class of 1843. Also that the honorary degree of Master of Arts, be conferred upon William P. Cutler Eng. formerly a student of this university, and who has since distinguished himself in the walks of science, virtue and usefulness.

Resolved, that agreeably to the recommendation of the faculty, the sum of one hundred dollars be allowed to Mr. Robert Woodrow for his services as Tutor during the past term.

Our motion, Resolved, that in consideration of extra ex= penses incurred by Prof. Marters on geological tours with the senior classes, any charges against him for the hay received by him from the College grounds be remitted.
