The Certificates are assuable only as fully registered Cerificate without coupons, and when issued, will be registered in the name of Cede & Co. as Certificateholder and nominee for The Deposity Trust Company, New York, New York, DTC will act as securities depository for the Certificates Individual purchases of the Certificates will be made in book-entry form, in the denomination of $5,000 or any integral multiple thereof. Purchases will not receive certificates representing their interest in the Certificates purchased.

Principal and semiannual interest (payable June and December 1 of each year, commencing December 1, 1987) on the Certificates will be paid by Northwest Bank Minneapolis N. A.
