WHEREAS, under date of June 13, 1945, the State of North
Carolina and the University of North Carolina conveyed to the Board
of Trustees of the Chapel Hill, North Carolina, City Administrative
Unit, the following described lot or parcel or land located on Franklin
Street in Chapel Hill, in exchange for a lot or parcel of land belonging to
the said Administrative Unit located on Columbia Street in Chapel Hill
and adjacent to property belonging to the University of North Carolina:

Description of Lot

Adjoining the lands of Franklin Street, lot of the Board of
Graded School Trustees of the Town of Chapel Hill, and S. Berman,
Beginning at a stake in the South property line of Franklin Street, in
the Town of Chapel Hill, North Carolina, the northwest corner of the
lot of the Board of Graded School Trustees of the Town of Chapel Hill,
formerly Harriet G. Cole; running thence with the said Board's line
in a Southern direction 359 feet to a stake, the Northeast corner of a
lot conveyed to the said Board by M. E. Hogan and wife, by deed
dated March 2, 1925, registered in the office of the Register of Deeds
of Orange County, North Carolina, in Book 85, page 78; running
thence with the said Board's line in a Western direction and parallel
with Franklin Street 212.2 feet, more or less, to a stake in S. Berman's
line; thence with the said Berman's line in a Northern direction and
parallel with the first 359 feet to a stake in the South property line
of Franklin Street, said Berman's Northeast corner, thence along
the South property line of Franklin Street in an Eastern Direction 212.2
feet, more or less, to the beginning.

and, WHEREAS, the said deed contained the following pertinent
provisions:

"Third, that in the event said lot or parcel of land shall not be
used or shall ever cease to be used for a public school site, then in that
event the title thereto in the Board of Trustees of the Chapel Hill, North
Carolina, City Administrative Unit, or its successors, shall cease and
determine and the same shall immediately revert to the University upon
payment of said sum."

"Fourth, that the Board of Trustees of the Chapel Hill, North
Carolina, City Administrative Unit, or its successors, may be
relieved of any of the above conditions by paying to the University of
North Carolina the sum of $8,000 and that the University will execute
a release upon payment of said sum."

and, WHEREAS, the Chapel Hill City Board of Education, Inc.,
successor to the Board of Trustees of the Chapel Hill, North Carolina
City Administrative Unit, has decided to abandon the site on Franklin
Street, including the lot described above, for school purposes and has
entered into a contract to sell the said property in order to raise funds
for the construction of a new school plant elsewhere, and has requested
that the University release its interest in said property upon payment
of $8,000 as provided for in the said deed of conveyance;

NOW, THEREFORE, BE IT RESOLVED that the Executive Committee
of the Board of Trustees of the University of North Carolina does hereby
approve the release of any interest the University may have in said
property upon payment of $8,000 to the University by the Chapel Hill
City Board of Education, Inc., and does hereby authorize the University
Administration to present the matter to the North Carolina Department
of Administration, and to request that any interest the State of North
Carolina and The University may have in the said property be released
to the Chapel Hill City Board of Education, Inc., upon payment of $8,000.
