Dr. Warren Ashby, Professor and Head of the Department of Philosophy, leave for the academic year 1964-65, without salary, in order to accept an appointment by the American Friends Service Committee as Associate Director, International Conferences and Seminar Program for Southern Aisa.
Dr. Richard Bardolph, Professor and Head of the Department of History and Political Science, research leave of absence for the second semester of the academic year 1964-65, with full salary, in order to complete a book on the organization and administration of the Confederate Army.
Miss Lois V. Edinger, Assistant Professor of Education, leave for the academic year 1964-65, without salary, in order to carry out her duties as President of the National Education Association.
Dr. Frederick Rener, Assistant Professor of German, leave of absence for the academic year 1964-65, without salary, in order to accept appointment as an exchange professor in West Germany.

A resolution entitled:
"RESOLUTION RATIFYING, CONFIRMING AND APPROVING PUBLICATION OF NOTICE OF SALE OF $4,180,000 THE UNIVERSITY OF NORTH CAROLINA AT CHAPEL HILL DORMITORY SYSTEM REVENUE BONDS OF 1963, SERIES A, C, D and E."
was introduced, and Mr. Maynard noved that it be adopted. The motion was seconded by Mr. Umstead and the resolution was adopted by all members present voting for its adoption; those voting "Nay": None. The Chairman thereupon declared said resolution unanimously adopted and the Secretary was instructed to record it in the minutes of the Board. The said resolution is in the following words and figures, to-wit:
RESOLUTION RATIFYING, CONFIRMING AND APPROVING PUBLICATION OF NOTICE OF SALE OF $4,180,000 THE UNIVERSITY OF NORTH CAROLINA AT CHAPEL HILL DORMITORY SYSTEM REVENUE BONDS OF 1963, SERIES A, C, D AND E.
WHEREAS, Section 209 of the resolution adopted on February 24, 1964 by the Board of Trustees of The University of North Carolina, entitled
"A RESOLUTION AUTHORIZING THE CONSTRUCTION AT THE UNIVERSITY OF NORTH CAROLINA AT CHAPEL HILL OF A NEW DORMITORY, WITH NECESSARY APPURTENANT FACILITIES, TO HOUSE APPROXIMATELY 925 MEN STUDENTS; AUTHORIZING THE ISSUANCE OF $7,029,000 THE UNIVERSITY OF NORTH CAROLINA AT CHAPEL HILL DORMITORY SYSTEM REVENUE BONDS OF 1963, SERIES A, B, C, D, E AND F, INCLUDING $1,647,000 SERIES A BONDS TO REFUND A LIKE PRINCIPAL AMOUNT OF UNIVERSITY OF NORTH CAROLINA DORMITORY REVENUE BONDS - SERIES 1956; $305,000 SERIES B BONDS, $533,000 SERIES C BONDS, $1,000,000 SERIES D BONDS, AND $1,000,000 SERIES E BONDS, TO REFUND LIKE PRINCIPAL AMOUNTS OF UNIVERSITY OF NORTH CAROLINA DORMITORY REVENUE BONDS OF 1960, SERIES A, B AND C; AND $2,544,000 SERIES F BONDS TO PAY, WITH OTHER AVAILABLE FUNDS, THE COST OF SAID DORMITORY PROJECT; PROVIDING FOR THE PAYMENT OF SAID BONDS AND THE INTEREST THEREON FROM REVENUES; PROVIDING FOR THE AUTHORIZATION OF BONDS FOR ADDITIONAL FACILITIES THAT MAY HEREAFTER BE CONSTRUCTED; AND SETTING FORTH THE RIGHTS AND REMEDIES OF THE HOLDERS OF SAID BONDS"
provides as follows:
"The Executive Committee is hereby authorized to sell the 1963 Series A bonds, the 1963 Series C bonds, the 1963 Series D bonds and the 1963 Series E bonds in the manner and subject to the conditions prescribed in this Resolution and in the Loan Agreement, dated as of January 1, 1964, by and between the Board, acting for and on behalf of The University of North Carolina at Chapel Hill, and the United States of America, acting through the Housing and Home Finance Administrator, including any amendments thereof or supplements thereto or any waiver or waivers of any of the provisions thereof (said Loan Agreement and any such amendments, supplements and waivers being hereinafter sometimes collectively called the 'Loan Agreement')"

WHEREAS, the Loan Agreement provided that the $1,647,000

1963 Series A bonds, the $533,000 1963 Series C bonds, the $1,000,000 1963 Series D bonds and the $1,000,000 1963 Series E bonds of the issue of The University of North Carolina at Chapel Hill Dormitory System Revenue Bonds of 1963 authorized by said resolution of February 24, 1964 shall be sold at public sale in the manner provided in the Notice of Sale and in the Official Notice of Sale hereinafter set forth; and
WHEREAS, the Business Officer and Treasurer of the Board of Trustees of The University of North Carolina on April 23, 1964 published a notice of sale of said 1963 Series A bonds, said 1963 Series C bonds, said 1963 Series D bonds and said 1963 Series E bonds (said bonds being referred to in said notice of sale as the "Series A bonds", the "Series C bonds", the "Series D bonds" and the "Series E bonds , respectively), in The News and Observer, a newspaper of general circulation published in the City of Raleigh, North Carolina, and in The Daily Bond Buyer, a financial journal published in the City and State of New York, said notice and sale being substantially in the following form:

Sealed bids will be received by the Board of Trustees of The University of North Carolina, acting by its Executive Committee, at the Governor's Office, State Capitol Building, Raleigh, North Carolina, until 10:30 o'clock A. M. , Eastern Standard Time
May 8, 1964,
at which time and place all bids will be publicly opened and read, for the purchase at not less than par and accrued interest from May 1, 1964 of all or any part of the following described The University of North Carolina at Chapel Hill Dormitory System Revenue Bonds of 1963 of the Board of Trustees of The University of North Carolina, dated November 1, 1963:
$1,647,000 Series A bonds (herein called the "Series A bonds"), maturing serially November 1 in the years 1964 through 1994, and bearing interest at a rate or rates, not exceeding 5% per annum, averaging not greater than the maximum acceptable rate of 2 3/4% per annum.
$533,000 Series C bonds (herein called the Series C bonds"), maturing serially November 1 in the years 1971 through 1979, and bearing interest at a rate or rates, not exceeding 5% per annum, averaging not greater than the maximum acceptable rate of 3 1/2% per annum.
$1,000,000 Series D bonds (herein called the "Series D bonds"), maturing serially November 1 in the years 1980 through 1991, and bearing interest at a rate or rates, not exceeding 5% per annum, averaging not greater than the maximum acceptable rate of 3% per annum.
$1,000,000 Series E bonds (herein called the "Series E bonds"), maturing serially November 1 in the years 1992 through 2000, and bearing interest at a rate or rates, not exceeding 5% per annum, averaging not greater than the maximum acceptable rate of 2 7/8% per annum.
Interest is payable semi-annually on the 1st days of May and November in each year. The maturity and redemption schedules are set forth in the Official Notice of Sale.
