Meeting of
June 11, 1902

Proceedings of the meeting of the Board of Directors of the
Houston Oil Company of Texas held at the office of the Company
in the City of Houston Harris County on the 11th day of June 1902
at 10 o'clock am.

A quorum being present to wit:

F A Reichardt
E J Eyres
R W Wier
B F Borner

Upon motion duly seconded the reading of the minutes of the
previous meeting of the Board of Directors was dispensed
with until the next meeting of the said Board.

Thereupon the following resolution was presented and upon
motion duly seconded was unanimously adopted.

In re Proposition
of Jno H Kirby

Whereas as the proposition of Mr. John H Kirby to the Houston
Oil Company of Texas to convey certain properties and perform
certain services in consideration for the capital stock of
said Houston Oil Company of Texas as entered on the minutes of
the meeting of the Directors of hte said Company held on the
9th day of June 1901, omits to mention the following matters which
were well understood however between said Oil Company and said
Kirby at said time and showed have been incorporated in said
proposition viz:

1. That among the obligations that the said Houston Oil Company
was to pay under said proposition were the amounts necessary to
be paid to the State of Texas by said John H Kirby to acquire fee
simple title to certain lands set forth in Exhibit "A" to said
proposition the final title to which had nt been issued out of
the State viz:

Part of the lands of the estate of Caroline Pickman
Part of the lands of John H Kirby
Part of the lands of Kirby and Votaw
Part of the lands of Kirby and Wing
Part of the lands of the Kirby Land and Lumber Company
Part of the lands of the Cow Creek Farm

2. That in consideration of the price at which said agreed to
purchase and pay for the timber under this proposition said
Oil Company further agreed to pay to said Kirby on the cost of the
following milling plants etc. which were necessary for him to
