Meeting
February 8, 1902

Proeedings
of the special meeting of the Board of Directors of the Houston Oil
Company of Texas held at the office of said Company in Houston
Texas on the Eighth day of February 1902

The meeting was called to order by the President and the following
Directors were present and answered to their names:
Thos H Franklin
Joe H Eagle
B F Bouner
E J Eyres
R W Wier

Thereupon the President presented the resignation of Mr J W Brown
as Director and on motion duly seconded said resignation was
accepted and upon motion being dulyseconded Mr Thornwell
Mullally was unanimously elected Director in place of said
Mr J W Brown.

Resignation of
Maryland Tr Co
as Registrar

Thereupon the President presented the resignation of the Maryland Trust
Company as registrar and upon motion duly seconded the same
was unanimously adopted.

Thereupon the following resolution was presented seconded and
unanimously adopted.

Appointment of
Continental Tr Co
as Registrar

Resolved that the Continental Trust Company be and is hereby
appointed Registrar of the Houston Oil Company of Texas.

THereupon the following resolution was duly presented seconded and
unanimously adopted.

Mr Thornwell
Mullally as
2nd V P

Resolved that Mr Thornwell Mullally be and is hereby elected Second Vice
President of the Houston Oil Company of Texas and that he be and is
hereby specially authorized as such to sign certificates of stock of the
Houston Oil Company of Texas - both common and preferred.

Thereupon the following resolution was presented seconded and unani-mously adopted.

Transfer Agent

Resolved that Mr T. B. Dean be and is herebt appointed transfer agent for
the Houston Oil Company of Texas.

Thereupon upon motion duly seconded the following resolution was
presented and was unanimously adopted.

Maryland Tr Co
authorized to del
H. O. Co pfd stock
to subscribers

Resolved that Seven and one half millions of Dollars ($7,500,000) of
preferred stock of the Houston Oil Company of Texas has been
subscribed for through the Maryland Trust Company as Agent for the
Houston Oil Company of Texas and said Maryland Trust Company is
hereby authorized and directed to deliver such stock to the subscribers
