resignation, death, removal or for disqualification, the Governor of the
State shall appoint another to fill such vacancy and his appointee shall
hold office for the unexpired of the said trustee.

Section 4. there shall be an annual meeting of the Board of
Trustees of the said State College of Durham at a time to be fixed by the
said Board. At any annual meeting of the said Board any member of trustees,
not less than seven, shall constitute a quorum, and be competent to exercise
full power and authority to do the business of the corporation and the said
board shall have the power to appoint special meetings of the trustees at
such time and place, as in their opinion, the interest of the corporation
may require but no special meeting shall have the power to remove or alter
any order, resolution or vote of an annual and the Board of Trus-
tees at any annual meeting may, by resolution, vote, or ordinance, from
time to time, as to it soon meet, limit, control and restrain the business
to be transacted, and the power to be possessed and exercised by special
meetings of the Board, called according to law, and the powers of such
special meetings shall not be limited, controlled and restrained accordingly.
There shall be kept in full and complete record of all resolutions and note
authorized by the Board of Trustees at the annual or special meetings.

Section 5. The Trustees shall have the power to make such rules
and regulations for the management of the State College for Colored People
as they may deem necessary and expedient, not inconsistent with the laws of
the State, and the said Trustees shall have the power to appoint from their
own member and Executive Committee, consisting of not less than four members,
which committee shall be clothed with such powers as the trustees may confer.

Section 6. The Trustees shall have the power to appoint a Presi-
dent for the said State College for Colored People of North Carolina and such
professors, tutors and other officers as to then shall appear necessary and
proper, then they may remove for misbehavior, inability, or neglect of duty.
They shall have the power to make all such laws and regulations for the
government of the State College for Colored People and preservation of order
and good morals therein as to then may appear necessary, provided they are
not contrary to the laws of the State. The faculty of the said State College,
by and with the consent of the trustees , shall have the power to confer all
such degrees or marks or literacy distinction as are usually conferred by
colleges or universities.

Section 7. The Trustees shall elect and commission some person
to be Treasurer of the Corporation, during the term of two years only, and
until his successor shall be elected and qualified; which treasurer shall
enter into bond, with sufficient sureties, payable to the State of North
Carolina, in the sum of not less than ten thousand dollars, conditioned for
the faithful discharge of his office and the trust reposed in him, and that
all moneys and chattels belonging to the corporation that shall be in his
hands at the expiration of his office shall then be immediately paid and
