Certificate of Incorporation of the Cannon & Fetzer Company, High Point Branch, Incorporated.

This is to certify that we, the undersigned, do hereby associate ourselves into a corporation under and by virtue of the laws of North Carolina, and do hereby severally agree to take the number of shares of capital stock in said corporation set opposite our respective names, and to that end, do hereby set forth.

1st. The name of this corporation is Cannon & Fetzer Company, High Point Branch, Incorporated.

2nd. The location of the principle office in this state is at High Point, N. C. but it may have one or more branch offices and places of business out of the state of North Carolina, as well as in said state.

3rd. The objects for which this corporation is formed are as follows:

1. To acquire and take over as a going concern the mercantile business now conducted on South Main Street, High Point N. C. under the name and style of Cannon & Fetzer company, a branch of Cannon & Fetzer Company, Concord, N. C.

2. To buy, sell, exchange and otherwise deal in goods, wares and merchandise of every kind and description, and to conduct, by wholesale and retail, in any or all of its branches the business of general merchandising.

3. To establihs and conduct a general department store.

4. To carry on all or any of the business of dry goods merchants, cloth manufacturers, furriers, haberdashers, hosiers, manufacturers, importers, wholesale and retail dealers of and in textile fabrics of all kinds; milliners, dressmakers, mantuamakers, tailors, hatters, clothiers, furnishers, outfitters, glovers, lace manufacturers, feather dressers, boot and shoe makers; manufacturers and importers and wholesale and retail dealers of and in leather goods, household furniture, china and glassware, crockery and other household fittings and utensils, ornaments, bric-a-brac, stationery, notions and fancy

goods; dealers in other articles and commodities of personal and household use and consumption; and generally of and in all manufactured goods, materials, provisions and produce.

5. To buy, sell, manufacture, repair, alter and exchange export and deal in all kinds of articles and things which may be required for the purposes of any of the said business, or commonly supplied or dealt in by persons engaged in any such business, or which may seem capable of being profitably dealt with in connection with any of the said businesses.

6. To subscribe for, buy, hold and sell capital stock in other corporations; to buy, lease or otherwise acquire land; to sell and convey real estate and personal property by deed, morgage or other conveyances; to borrow money and issue notes bonds or other evidences of indebtedness for the same and secure the payment thereof and interest by mortgage, deed of trust or otherwise.

And in order to properly prosecute the objects and purposes above set forth, the corporation shall have full power and authority to purchase, lease and otherwise acquire, hold, mortgage, convey and otherwise dispose of all kinds of property, both real and personal, both in this state and other States; to purchase the business, good will and all other property of any individual, firm or corporation as a going concern, and to assume all its indebtedness, contracts and obligations, provided said business is authorized by the powers contained herein, and generally to perform all acts which may be deemed necessary or expedient for the proper and successful prosecution of the objects and purposes for which this corporation is created.

4th. The total authorized capital stock of this corporation is one hundred and twenty-five thousand (125,000) dollars, divided into 1250 shares of the par value of $100 each, but the corporation may organize and begin business when ten thousand dollars ($10,000) of the capital stock, composed of one hundred shares shall have been subscribed.

The capital stock may be paid for in goods, wares or merchandise at a reasonable price, but no certificate of stock shall be issued unless the par value thereof has been paid, which certificate thereafter shall be non-assessable.

5th. The names and post office addresses of the subscribers for stock and the number of shares subscribed for by each, the aggregate of which being the amount of the capital stock with which the company will commence business, are as follows:

6th. The period of existence of this corporation shall be sixty years.

7th. The general management of said corporation shall be by a board of not less than three and not more than five directors, to be elected by the stockholders, but no one shall be eligible to be a director of this company unless he is a stockholder of this company or a stockholder of Cannon & Fetzer Company, Concord, N. C.

The officers of said corporation shall consist of a President, Vice-President and Secretary and Treasurer, to be elected by the Directors of this Company.

The Board of Directors of this corporation shall have the power by vote of the majority of the directors and without the assent or vote of the stockholders, to make, alter, amend and rescind the by-laws of this corporation.

This is to certify that before me this day personally appeared B. E. Harris, with whom I am personally acquainted, who being by me duly sworn, deposes and says that he is the Secretary of the Cannon & Fetzer Company, a corporation, which executed the foregoing certificate of incorporation of the Cannon & Fetzer Company, High Point Branch, Incorporated, and that P. B. Fetzer is president thereof; that he knows the common seal of the said corporation; that the seal affixed to the foregoing instrument is the said common seal and the name of the corporation was subscribed thereto by the said President, and that the said president and secretary subscribed their names thereto and the said common seal was affixed, all by order of the Board of Directors of said corporation: that the said instrument is the act and deed of said corporation.
