2. The Woman's College

A resolution entitled: RESOLUTION AMENDING RESOLUTION ADOPTED BY THE BOARD OF TRUSTEES OF THE UNIVERSITY OF NORTH CAROLINA ON MAY 28, 1962, AUTHORIZING THE ISSUANCE OF WOMAN'S COLLEGE OF THE UNIVERSITY OF NORTH CAROLINA DORMITORY SYSTEM REVENUE BONDS OF 1962" was introduced, and Mrs. Parker moved that it be adopted. The motion was seconded by Mr. Wallace and the resolution was unanimously adopted by all members present voting for its adoption; those voting "Nay": None.

The Chairman thereupon declared said resolution unanimously adopted and the Secretary was instructed to record it in the minutes of the Board. The said resolution is in the following words and figures, to -wit:

RESOLUTION AMENDING RESOLUTION ADOPTED BY THE BOARD OF TRUSTEES OF THE UNIVERSITY OF NORTH CAROLINA ON MAY 28, 1962, AUTHORIZING THE ISSUANCE OF WOMAN'S COLLEGE OF THE UNIVERSITY OF NORTH CAROLINA DORMITORY SYSTEM REVENUE BONDS OF 1962.

WHEREAS, the Board of Trustees of The University of North Carolina (hereinafter sometimes called the "Board") on May 28, 1962, duly adopted a resolution entitled:

"A RESOLUTION AUTHORIZING THE CONSTRUCTION OF A NEW DORMITORY WITH NECESSARY APPURTENANT FACILITIES, TO HOUSE APPROXIMATELY 640 WOMEN STUDENTS AND INCLUDING FOUR APARTMENTS AT THE WOMAN'S COLLEGE OF THE UNIVERSITY OF NORTH CAROLINA, IN GREENSBORO; AUTHORIZING THE ISSUANCE OF $1,800,000 WOMAN'S COLLEGE OF THE UNIVERSITY OF NORTH CAROLINA DORMITORY SYSTEM REVENUE BONDS OF 1962, SERIES B, OF THE BOARD OF TRUSTEES OF THE UNIVERSITY OF NORTH CAROLINA TO PROVIDE FUNDS, WITH OTHER AVAILABLE FUNDS, FOR PAYING THE COST THEREOF, AND $827,000 WOMAN'S COLLEGE OF THE UNIVERSITY OF NORTH CAROLINA DORMITORY SYSTEM REVENUE BONDS OF 1962, SERIES A, OF SAID BOARD OF TRUSTEES FOR THE PURPOSE OF REFUNDING A LIKE PRINCIPAL AMOUNT OF WOMAN'S COLLEGE OF THE UNIVERSITY OF NORTH CAROLINA DORMITORY SYSTEM REVENUE BOND OF 1958 OF SAID BOARD OF TRUSTEES; PROVIDING FOR THE PAYMENT OF SAID BONDS AND THE INTEREST THEREON FROM REVENUES; PROVIDING FOR THE AUTHORIZATION OF BONDS FOR ADDITIONAL FACILITIES THAT MAY HEREAFTER BE CONSTRUCTED; AND SETTING FORTH THE RIGHTS AND REMEDIES OF THE HOLDERS OF SAID BONDS"

(hereinafter called the "Bond Resolution"); and

WHEREAS, the amount of Woman's College of the University of North Carolina Dormitory System Revenue Bonds of 1962, Series A, to be issued and exchanged pursuant to the Loan Agreement, dated as of January 1, 1962, by and between the Board and the United States
